Definitions

Unless otherwise specified, the following terms shall have the meanings outlined below. These definitions apply whether the terms are used in the singular or plural form.

  • His Places: The online platform operating under the DBA “His Places,” owned by M19 Incorporated, a Delaware C-corp. The platform facilitates professional collaborations and service transactions among Christians.
  • User: Any individual or organization that creates an account on His Places, including Professionals, Clients, Ministries, or Referrers. Also referred to as “You” in these Terms and Conditions.
  • Professional: A service provider who offers professional or creative services, or digital products, on the platform, either as an individual or on behalf of an organization.
  • Client: A User who engages a Professional for paid services via the His Places platform.
  • Ministry: A nonprofit organization or Christian outreach that may use His Places either to hire Professionals or to receive donations from Users.
  • Referrer: A User or organization that invites another User to join His Places. Referrers vouch for the Christian identity of those they refer and may be called to participate in arbitration involving those Users.
  • Contract: A legally binding agreement between two Users (typically a Client and a Professional) established through the His Places platform.
  • Arbitration Committee: A group of Spirit-filled mature Christians, trained in conflict resolution, who help resolve disputes in accordance with Biblical principles.
  • Arbitration Board: The group formed to resolve a specific dispute, consisting of the parties in dispute, their Referrers (or appointed representatives), and members of the His Places Arbitration Committee.
  • Statement of Faith: The doctrinal standard required of all Users, affirming the Lordship and divinity of Jesus the Messiah, as further described in Section 7.
  • Community Standards: The behavioral expectations for all Users, based on Scripture, particularly 1 Corinthians 13:4–7.
  • Third-Party Payment Provider: A company like Stripe that processes financial transactions on behalf of Users. His Places does not handle funds directly.

1. Overview

His Places is an online marketplace and community exclusively for Christians to engage in service-based professional transactions, digital product purchases, and ministry donations. By using His Places, you agree to these Terms and Conditions, our Statement of Faith, and any other policies incorporated by reference.


2. Eligibility

You must affirm the His Places Statement of Faith (Section 7) to create an account. Users must be at least 18 years old or the legal age of majority in their jurisdiction.


3. Account Creation and Use

  • Users may only create an account if they have been referred by a partner organization or invited by a His Places User in good standing.

  • By referring another individual or organization, you affirm that they meet the criteria set forth in the Statement of Faith and agree to participate in dispute resolution involving your referrals if called upon.

  • You are responsible for maintaining the security of your account and password.


4. Contracts Between Users

  • Users may engage with one another via Contracts created on or facilitated through the platform.

  • Once accepted by both parties, these Contracts are binding under applicable law and Christian ethical standards.

  • His Places is not a party to User-to-User Contracts and does not guarantee the performance of either party.


5. Confidentiality and Non-Disclosure

When entering into a Contract through His Places, Professionals agree to treat all information received from Clients as confidential, including but not limited to proprietary data, business practices, internal communications, project requirements, and deliverables.

  • No public disclosure: Professionals may not publicly disclose, display, or reference any part of the work they perform for Clients without the Client’s prior written permission.

  • No unauthorized sharing: Confidential information may not be shared with third parties unless explicitly authorized in writing by the client.

  • Surviving obligation: These confidentiality obligations continue after the Contract ends, unless otherwise released in writing by the Client.

Violation of this provision may result in account suspension, contract termination, or legal and arbitration remedies as outlined in the dispute resolution section.


6. Payments

  • All payments are processed via third-party providers such as Stripe.

  • His Places does not provide escrow services and does not hold User funds.

  • Professionals and Ministries that receive payments through His Places are solely responsible for their own tax reporting and compliance.


7. Dispute Resolution


Biblical Arbitration Commitment

As followers of Jesus Christ, Users agree to resolve disputes in accordance with 1 Corinthians 6:1–9. By using this platform, you agree not to take disputes to secular courts but instead submit to arbitration administered by His Places.


Arbitration Process
  • The Arbitration Board consists of the disputing Users, their Referrers (or an authorized representative from the referring organization), and one or more members of the His Places Arbitration Committee.

  • The Arbitration Committee is composed of Spirit-filled Christians trained in conflict resolution.

  • Users agree to furnish required materials, attend virtual meetings if requested, and abide by the final decision of the Arbitration Board.

  • Failure to cooperate may result in account suspension or termination.


8. Statement of Faith

By creating an account, you affirm that you believe and confess that you serve Jesus the Messiah, who is God almighty uniquely divine, was born of a virgin, walked this earth in the flesh in a sinless life, died on the cross for our sins, rose bodily from the grave on the third day, and now sits in heaven at the right hand of God the Father.


9. Community Standards and Conduct

You agree to:

  • Treat others with love, as defined in 1 Corinthians 13:4–7: patient, kind, respectful, considerate, not defensive or aggressive, trustworthy, a keeper of confidences, and giving others the benefit of the doubt.

  • Avoid conduct that is divisive, deceptive, or manipulative.

  • Maintain confidentiality, honor commitments, and seek understanding before judgment.


10. Referrals and Community Responsibility

  • When you refer someone to His Places, you vouch for their Christian identity and agree to participate in arbitration (if needed) as a trusted party.

  • His Places reserves the right to ask a Referrer to join an Arbitration Board if a dispute arises involving someone they referred.


11. Platform Limitations

  • His Places is not responsible for the conduct of Users or the quality of services exchanged.

  • The platform may be unavailable at times due to maintenance, system failures, or updates.

  • We may modify or discontinue features without prior notice.


12. Termination

  • You may close your account at any time.

  • His Places reserves the right to suspend or terminate any account found in violation of these Terms, the Statement of Faith, or Christian conduct expectations.


13. Modifications to Terms

We may modify these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.


14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, to the extent not superseded by Biblical arbitration requirements accepted herein.
